Seems many are holding shares in own name. Curious JTO has 2 allocation of shares. JTO appears to be largest shareholder, so presumably is Justin Rees?

I see the 2 allocation to JTO are different share classes. The A share class have a nominal value of 1p. The ordinary shares a nominal value of £1.00

JTO - Justin Taking Over?

Merry Christmas…

I notice that Justin bought that company from other people. Was incorporated in 2018 under the name Chaplestone developments with three previous directors. Two of them resigned back in Feb 2021 but the third didn't resign till 11th July 2024 which was the same day Justin took control.

Maybe I'm missing something blindingly obvious but why didn't Justin just set up a new company to use as his vehicle for holding his Southend Shares?

Why a random dormant company from seemingly three unrelated individuals who set it up as a property development company?

Some of the others have A class shares as well - can someone who understands such things explain what might be going on here for dummies (like me!)?

Share classes refer to the different categories of shares that a company can issue, each with its own specific rights and privileges. These categories might include Class A, Class B, and Preferred Shares, among others. For instance, Class A shares often carry enhanced voting rights, while Class B shares might have fewer voting rights but offer other advantages like higher dividends. Preferred shares typically come with fixed dividends and priority over ordinary shares in the event of liquidation, but they usually do not have voting rights. Companies use different share classes to attract various types of investors or to provide certain shareholders with more control over the company.

Ordinary shares, on the other hand, are the most common type of shares issued by a company and represent equity ownership. Holders of ordinary shares usually have the right to vote at general meetings of the company and are entitled to receive dividends, which can vary based on the company's profitability and dividend policy. In the event of liquidation, ordinary shareholders have a claim on the company's assets, but only after all debts and preferred shareholders have been paid. While ordinary shares carry a higher risk because shareholders are last in line to receive assets, they also offer the potential for higher rewards through capital gains and dividends, benefiting directly from the company's growth and profitability.

In summary, share classes encompass various types of shares with different rights and privileges, while ordinary shares are a specific type within those classes that typically include standard voting rights and dividends, representing direct ownership in a company.

Thanks for that, so applying that to COSU some of the guys have voting rights and others don’t then?
Pretty much so within COSU, different shareholders might hold different classes of shares, which means they may have varying rights and privileges. Some shareholders could have shares with voting rights, allowing them to influence decisions at general meetings, while others might hold shares that don't include voting rights but could offer other benefits like higher dividends.

This structure allows the club to tailor its shares to meet the needs and preferences of different investors, balancing control and financial incentives accordingly.
